This Terms of Use ("Agreement") governs your access to and use of services, competitions, and digital platforms (collectively, "Services") operated by Tamir ("Company," "we," "us," or "our"). By registering an account ("Account"), accessing our Services, or participating in any competitions, you acknowledge that you have read, understood, and irrevocably agree to be bound by these Terms, including all incorporated contest-specific regulations ("Rules").

1. Definitions

"Account" means your unique user profile registered with the Company.

"Services" encompass all digital platforms, applications, competitions, and related offerings provided by the Company.

"Restricted Locations" refers to jurisdictions where participation in monetary contests is expressly prohibited.

2. Account Creation & Acceptance of Terms

2.1 Binding Agreement

By completing any of the following actions:

Creating an Account

Selecting "I AGREE" to these Terms

Installing any Company application

Participating in competitions

you affirmatively represent and warrant that:

(i) You have reviewed and comprehend these Terms in their entirety;

(ii) You possess full legal capacity to enter into this Agreement;

(iii) Your participation complies with all applicable laws in your jurisdiction.

2.2 License Grant

Subject to ongoing compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable license to:

Access and use the Services for personal, non-commercial purposes;

Utilize platform avatars strictly in accordance with accompanying usage policies.

3. Modifications to Terms

3.1 Right to Amend

The Company reserves the unilateral right to modify these Terms at any time. Material changes will be communicated through prominent notice on our official website.

3.2 Continued Use as Acceptance

Your continued use of Services following such modifications constitutes irrevocable acceptance of the revised Terms.

4. Eligibility Requirements

To create an Account or participate in competitions, you must:

Be at least 18 years of age (or the age of majority in your jurisdiction);

Possess a valid, verifiable email address;

Be physically located in a permitted jurisdiction at time of participation;

Maintain continuous compliance with all provisions herein.

5. Contest Participation Provisions

5.1 Jurisdictional Restrictions

Current Restricted Locations Include:

United States: Delaware, Louisiana, Maryland, Montana, Tennessee, Indiana, Maine, Texas

Other Jurisdictions: As periodically updated on our website

Participants bear sole responsibility for verifying their eligibility based on current physical location.

5.2 Participant Obligations

All participants must:

Engage strictly as individuals (no proxy participation permitted);

Provide accurate, current registration information;

Immediately update any changed information;

Refrain from:

Collusion with other participants

Use of automated entry systems

Commercial exchange of rewards or digital assets

6. Account Management

6.1 Singular Account Policy

Each natural person may maintain only one active Account. Duplicate or fraudulent accounts are subject to immediate termination.

6.2 Security Requirements

You are solely responsible for:

Maintaining confidentiality of login credentials;

All activities conducted through your Account;

Promptly reporting unauthorized access.

6.3 Inactivity Provisions

The Company reserves the right to deactivate Accounts demonstrating prolonged inactivity at its sole discretion.

7. Financial Provisions

7.1 Fee Structure

All service fees:

Are denominated in United States Dollars (USD);

Require payment in advance;

Are non-refundable except as required by applicable law.

7.2 Prize Distribution

Prize awards:

May be subject to verification procedures;

Require completion of all necessary tax documentation;

Are payable only through approved methods.

8. Intellectual Property Rights

All Service content, including but not limited to:

Software code

Visual designs

Digital assets

Proprietary algorithms

remain the exclusive property of the Company. No rights are granted beyond the limited license expressly outlined in Section 2.2.

9. Liability & Dispute Resolution

9.1 Limitation of Liability

To the maximum extent permitted by law, the Company disclaims liability for:

Indirect, incidental, or consequential damages;

Third-party actions or content;

Service interruptions beyond our reasonable control.

9.2 Mandatory Arbitration

All disputes arising under this Agreement shall be resolved through binding individual arbitration in Clark County, Nevada, pursuant to the Commercial Arbitration Rules of the American Arbitration Association.

10. General Provisions

10.1 Governing Law

This Agreement shall be construed under Nevada law without regard to conflict of law principles.

10.2 Tax Obligations

Participants bear sole responsibility for all tax liabilities arising from prize awards.

10.3 Force Majeure

The Company shall not be liable for failure to perform obligations due to events beyond reasonable control.

10.4 Severability

If any provision is deemed unenforceable, the remaining terms shall retain full force and effect.

10.5 Entire Agreement

This document constitutes the complete and exclusive understanding between the parties, superseding all prior agreements.
